Board regulations ('bestuursreglement')

Board regulations ('bestuursreglement')

Board regulations (in Dutch: bestuursreglement) set out how the board of a foundation operates internally. It supplements the deed of incorporation for day-to-day practice: e.g. who signs off on what, how decisions are made, how conflicts are handled, and what applies when a board member has a personal interest. The board regulations may never contradict the deed of incorporation: they always operate within the framework the deed establishes.
A board regulations document is not required by law, but it is a practical tool for preventing ambiguity and resolving disputes before they arise.
